Beams Consulting Ltd – Terms and Conditions

Definitions
• “Agreement”: the contractual relationship between Beams Consulting Ltd t/a BeamMyBills and the Customer as set out in these terms and conditions and any Letter of Authority.
• “Breach Fee”: payment due from the Customer to Beams Consulting in the event of a Customer Breach.
• “Live Date”: the date on which this Agreement comes into effect.
• Credit Score Criteria: the credit rating or financial assessment requirements that may be set and updated from time to time by Beams Consulting Ltd t/a BeamMyBills and/or the relevant Supplier, which a Customer must meet in order to access the Services and enter into a Contract with a Supplier.
• “Commission Payment”: the payment Beams Consulting is entitled to receive from the Supplier as a result of the Customer entering into a Contract.
• “Confidential Information”: any information exchanged between the parties in relation to this Agreement.
• “Contract”: the contract entered into by the Customer (or by Beams Consulting on the Customer’s behalf) with the Supplier for the supply of energy, water, or other services as part of the Agreement.
• “Customer Breach”: any act or omission of the Customer that represents a breach of the terms of this Agreement.
• Customer: means any non-domestic commercial customer who satisfies the eligibility requirements
• “Customer Obligations”: as set out in Clause 2.
• “Data Protection Legislation”: all relevant data protection and privacy legislation in force in England and Wales, including the GDPR 2016/679, Data Protection Act 2018, and Privacy and Electronic Communications Regulations.
• “Letter of Authority”: letters signed by the Customer authorising Beams Consulting Ltd to act on their behalf.
• “Services”: the services Beams Consulting will provide, including presenting contract options from Suppliers and assisting with contract management.
• “Supplier”: the supplier that the Customer chooses to enter into a Contract with.
• “Working Day”: Monday to Friday, excluding public holidays in England.
Supply of Services
1. The Customer agrees that:
* Signing a Letter of Authority constitutes a request to purchase services in accordance with an Agreement. The Agreement comes into effect once the Letter of Authority is received by Beams Consulting Ltd t/a BeamMyBills.
* Beams Consulting Ltd t/a BeamMyBills will provide the Services requested by the Customer in line with this Agreement.
* Beams Consulting Ltd t/a BeamMyBills is not a price comparison service and does not guarantee the lowest available price. Recommendations are based on overall suitability, with cost being only one factor considered.
Customer’s Obligations
The Customer agrees to:
• Provide accurate, complete, and up-to-date information and documents.
• Beams Consulting Ltd t/a BeamMyBills may suspend or terminate this Agreement immediately by written notice if the Customer:
• Commits a material breach of any term of this Agreement and, if the breach is capable of being remedied, fails to correct it to the satisfaction of Beams Consulting Ltd t/a BeamMyBills within fourteen (14) days of receiving written notice.
• Enters administration, liquidation, or any formal arrangement with creditors, has a receiver appointed over assets, or ceases to carry on business.
• Suspends, threatens to suspend, ceases, or threatens to cease all or a substantial part of their business operations.
• In the event of termination or suspension due to a Customer breach, the Customer shall pay the Breach Fee, calculated as the Commission Payment that Beams Consulting Ltd t/a BeamMyBills would have received but is not due to the Customer’s breach.
• The Breach Fee represents a reimbursement of loss incurred by Beams Consulting Ltd t/a BeamMyBills and is not considered a penalty.
• Inform Beams Consulting immediately of any changes affecting Services or Contracts.
• Comply with all applicable legislation, including the Bribery Act 2010.
• Not interfere with Commission Payments to Beams Consulting.
• Not enter into other contracts that conflict with this Agreement.
Change of Tenancy (COT)
If the Customer permanently vacates premises before or during the Contract:
1. The Contract terminates.
2. Written notice must be provided at least 14 Working Days before vacating, including evidence such as a solicitor’s letter or lease assignment.
Litigation Costs
If court proceedings arise between the Customer and Beams Consulting Ltd, the Customer shall reimburse all reasonable legal costs and expenses incurred by Beams Consulting Ltd
Consequences of Termination
Termination does not affect:
1. Accrued rights, remedies, obligations, or liabilities.
2. Liability of the Customer for a Customer Breach.
3. Any payments due under this Agreement.
Commission Payments
Commission Payments are included in the price charged by the Supplier and vary by Supplier. Customers may request further details on Commission Payments at any time, please contact support@beammybills.co.uk
Limitation of Liability
Beams Consulting Ltd is not liable for:
• Loss of profits, sales, contracts, anticipated savings, or goodwill.
• Indirect or consequential losses.
Beams Consulting’s liability is limited to the amount of Commission Payment received. Liability cannot be excluded in cases of death, personal injury, or dishonesty.
Credit Score Criteria
The Customer acknowledges and agrees that:
• Access to the Services and eligibility to enter into a Contract with a Supplier is subject to meeting the Credit Score Criteria as determined by Beams Consulting Ltd t/a BeamMyBills and/or the Supplier.
• To meet the required Credit Score Criteria, Beams Consulting Ltd t/a BeamMyBills may decline to provide Services or facilitate a Contract with a Supplier.
• Meeting the Credit Score Criteria does not guarantee acceptance by the Supplier; final approval remains at the Supplier’s discretion.
Data Protection
Beams Consulting Ltd may share Customer contact details with Suppliers. Both parties shall comply with all Data Protection Legislation.
Confidentiality
Neither party shall disclose the other’s confidential information without prior written consent.
Dispute Resolution
Parties shall negotiate in good faith for 14 days. If unresolved, disputes may be referred to complaints (insert complaints link).
